Depends:
If it's a WinME UPGRADE CD then you can install on a fresh HD, but it will
ask you to insert a prior OS disk. Make sure you use a CD, I made the
mistake once of using my old W95 floppies and it asked for about 10 of them,
took forever.
If it's a WinME FULL RETAIL, then install as normal.
If you don't have WinME setup disks, you can create Win98 setup disks to
install WinME. You will need those to format the HD and to install the
generic CD driver in order to have CD support. Be sure you create them
before you blow away the old OS.
Also, you will want to download the WinME drivers and latest BIOS from
ibm.com for you machine before the upgrade...
