        Maybe I'm remembering it wrong, but I thought M$ changed the IR
protocols starting with W2K, rendering it incompatible with older
versions of Windows and lots of other stuff as well. There was a lot
of screaming when it first happened.

Yeah, I had to get a program that installs a virtual COM port driver to
make the IR port appear as a normal COM port in W2K for my Palm
Pilot. There's a free one at:

www.ircomm2k.de (have to select English)

With both IR ports simulating COM ports you should then be able to then
establish a direct connect network between the two using the COM
ports. I'm not familiar enough with NT 4.0 to know how it is done in
NT4.0. You probably can look under Null Modem Cabling in the NT4
Help. That's where it is in W2k.
